Terms of Service

These Terms of Service ("Terms") govern your access to and use of SectID("we", "us", or "our") compliance technology platform, including our website, APIs, SDKs, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

1. Services Description

SectID provides compliance technology and decision-support software for identity verification (KYC), business onboarding (KYB), anti-money laundering screening (AML), sanctions screening, and transaction monitoring. Our Services are designed for regulated financial institutions, fintechs, and businesses operating in African markets.

2. Account Registration and Security

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must promptly notify us of any unauthorized access or security breach.
  • You may not share account credentials across organizations or tenants.

3. Acceptable Use

You agree not to:

  • Use the Services for any illegal purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the Services
  • Interfere with or disrupt the integrity or performance of the Services
  • Share API keys across tenants or organizations
  • Use the Services to process data of individuals under 18 without parental consent
  • Reverse engineer, decompile, or disassemble any part of the Services

API keys must not be shared across tenants. Webhook endpoints must verify HMAC signatures. Usage is metered per verification, screening, and transaction-monitoring evaluation as described on the Pricing page.

4. Data Processing and Compliance

You acknowledge that SectID acts as a data processor and you are the data controller for personal data submitted through the Services. You are responsible for:

  • Obtaining valid consent from data subjects before processing their data
  • Ensuring data processing activities comply with applicable data protection laws
  • Maintaining accurate records of processing activities
  • Honoring data subject rights requests in a timely manner

5. Fees and Payment

Fees are based on your selected plan and actual usage. Monthly floor charges apply for paid plans regardless of usage volume. Per-unit rates are invoiced in arrears at the end of each billing period. Enterprise customers are subject to a separate Master Services Agreement.

  • All fees are billed in USD unless otherwise agreed
  • Overdue payments may result in service suspension after 30 days
  • Refunds are provided at our discretion for service unavailability exceeding SLA

6. Intellectual Property

SectID retains all rights, title, and interest in the Services, including all intellectual property rights. You retain all rights to your data. We may use aggregated, anonymized data for platform improvement and analytics.

7. Limitation of Liability

The platform is provided on an as-is basis for operational compliance workflows. SectID does not provide legal advice or guarantee regulatory approval in any jurisdiction. To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the amount paid by you in the 12 months preceding the claim
  • We are not responsible for decisions made based on our risk scores or recommendations

8. Termination

Either party may terminate these Terms with 30 days written notice. Upon termination:

  • Your access to the Services will be suspended
  • We will return or delete your data per our data retention policy
  • Any outstanding fees become immediately due

9. Governing Law

These Terms are governed by the laws of the Republic of Kenya. Any disputes shall be resolved through arbitration in Nairobi under the rules of the Chartered Institute of Arbitrators (Kenya Branch).

10. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes at least 30 days before they take effect. Continued use of the Services after changes constitutes acceptance.
